Terms of Use Agreement

Introduction

Masterpass™ by Mastercard ("Masterpass") is a digital card storage service offered by Mastercard Middle East Africa FZ-LLC ("Mastercard") that stores your selected payment information in a convenient and secure location ("Masterpass by Mastercard" or "Masterpass") and allows you to use that information, upon your request, at online merchants that display the Masterpass logo on their websites, mobile sites or smartphone applications (each a "Masterpass Merchant").

This Terms of Use Agreement ("Terms of Use Agreement") constitutes a legally binding agreement between Mastercard and you. By accepting and entering into this Terms of Use Agreement, you agree to be bound by all of the terms and conditions set out in this Terms of Use Agreement and the rules, policies and procedures provided to you by Mastercard, as defined in this Terms of Use Agreement, in relation to Masterpass.

“You” (and all of its derivations) means you individually and if you are accepting this Terms of Use Agreement on behalf of a company or other legal entity, that legal entity. By entering into this Terms of Use Agreement, you represent and warrant that you are over 18 years of age and have the legal capacity to enter into legally binding contracts. If you are entering into this Terms of Use Agreement on behalf of a company or other legal entity, you further represent and warrant that; (i) you have the authority to bind the legal entity, (ii) such legal entity is authorized to conduct business in the jurisdiction(s) in which you operate, and (iii) all employees, officers, agents, and other representatives of the legal entity who use your Masterpass account are duly authorized to access it and to engage in transactions using your Masterpass account.

Setting up Your Masterpass Account 

Masterpass can be registered for in various ways: 1) via the Masterpass website in Türkiye, 2) via the Masterpass mobile application, 3) via the payment page on the Merchant's website where the transaction took place, and 4) through the digital channels of the financial institution (bank, e-money institution, etc.) that issued the card.

You can register to Masterpass using your mobile phone number, e-mail address, details (card number and expiry date) of your credit card, debit card and reloadable prepaid cards ("Cards") and the nickname and information you have given to your card. The methods of setting up your Masterpass account other than the digital channels of the financial institution issuing your card are verified by means of a one-time password SMS ("OTP") sent to the cardholder by the issuer. All information pertaining to your cards will be referred to as your "Payment Information" in this Terms of Use Agreement.

At Masterpass contracted Merchants, you will be required to verify your Masterpass account with the relevant merchant on one occasion in order to access your Payment Information in your Masterpass account, as previously created. The account verification process will be completed with the help of the OTP sent to you by the financial institution issuing the card you have registered in Masterpass. Furthermore, you can access your Payment Information via the Masterpass Türkiye website (https://www.masterpassturkiye.com/) or via the Masterpass mobile application after logging in. Please note that users visiting the Masterpass Türkiye website for the first time are required to create their Masterpass account password from the Create New Password step.

In the event that you enter into the Masterpass Terms of Use Agreement with your free and active consent, you will be asked at the payment stage of the Masterpass-contracted merchant whether you wish to use your cards registered with Masterpass in order to benefit from the Masterpass Card Storage Service. If you do not wish to use your Masterpass-registered cards, you may continue the payment process with other available payment methods, subject to the Merchant's discretion. In case you would like to use your cards stored in your Masterpass account at checkout pages that Masterpass  services are enabled, your personal data  will be shared according to Masterpass Privacy Notice available on https://www.masterpassturkiye.com/privacy-notice

Biometric Login Authentication (Fingerprint, Facial Recognition): To enable faster and more secure access to the Masterpass mobile application, you may choose to activate your device’s biometric authentication features (such as Face ID, Touch ID, etc.). The use of these features is entirely optional. Your biometric data is never processed, stored, or transmitted to our servers. The authentication process is performed exclusively within the secure environment of your device’s operating system. We receive only the authentication result provided by the device (successful or unsuccessful authentication).

Protecting Your Account Information

Mastercard takes the necessary technical and administrative measures to protect the confidentiality and security of your account password. However, Mastercard will not be held responsible for any unauthorised use that may occur as a result of any reason arising from you. In this context, Mastercard will not be held responsible for any damage or loss that may arise from transactions carried out through your Masterpass account, including the transactions of others. The responsibility for such damage or loss lies exclusively with you. It is your responsibility to ensure the confidentiality and security of your Masterpass account password in accordance with relevant laws and norms. In the event of a breach or unauthorised use of your Masterpass account, you agree to notify the merchant through which you use Masterpass and Mastercard without delay. To do so, please contact the Customer Service number specified in this Terms of Use Agreement:

Mastercard reserves the right to require you to change your password(s) if Mastercard suspects that your password(s) are no longer secure. Neither Mastercard nor its representatives will be liable for any damage or loss arising from any unauthorised use of your Masterpass account or Payment Information, whether or not made with your knowledge. Conversely, failure to comply with your obligations under applicable law or in this Terms of Use Agreement may result in liability for damages suffered by Mastercard or other relevant parties as a result of the use of your Masterpass account or Payment Information by others.

It is your responsibility to ensure that the information relating to your Masterpass account, including all payment information, is kept up to date and accurate. MASTERCARD DOES NOT REPRESENT OR WARRANT THE TRUTHFULNESS, VALIDITY, ACCURACY OR COMPLETENESS OF THE PAYMENT INFORMATION IT TRANSMITS ON YOUR BEHALF.

If the mobile phone number registered to your Masterpass account is changed, canceled, or transferred to a third party, you are responsible for updating your Masterpass account or, if necessary, deleting it in order to ensure the security of the information linked to your account. Mastercard shall not be liable for any unauthorized access, transactions, or damages that may arise from the use of the mobile phone number by third parties.

Using Your Masterpass Account

You may use your cards registered to your Masterpass account for the purchase of products and/or services at Masterpass Merchants. In accordance with the conditions stated below, in such purchases, Mastercard ensures that the transaction is routed between the Merchant and the relevant bank in order to fulfil the payment transaction based on your preference.

If you already have a Masterpass account, you can complete your payment with your cards registered to your Masterpass account in the Credit/Debit Card Payment step on the website or mobile application of the relevant Masterpass Merchant to purchase the products and/or services you have selected from a Masterpass Merchant. If you are using your Masterpass account for the first time at a Masterpass Merchant, your account must be verified once at the relevant Merchant and a Merchant Connection ("Connection") must be created. You can remove the connection of your Masterpass account to any Masterpass Merchant from the “My Connected Merchants” menu after logging in to your account via Masterpass Türkiye Website or Masterpass mobile application.

Members can access and view, through the Masterpass Platforms, information regarding transactions carried out via Masterpass and the status of those transactions (such as authorizations, refunds, etc.), as well as analyses and summary information derived from transaction data (such as the most frequently used card, the merchant or brand most frequently transacted with, etc.), and information related to their Masterpass accounts.

MASTERCARD CANNOT GUARANTEE THAT THE DESCRIPTIONS OR TERMS AND CONDITIONS OF PRODUCTS AND/OR SERVICES OFFERED BY A MASTERPASS MERCHANT ARE ACCURATE OR COMPLETE. 

Use of the Instant DigitalLoan Product

The “Instant DigitalLoan” is an intermediation service to enable you acquire consumer credit from partnered banks or to offer you the option to pay with an installment account at the checkout pages for purchases made from contracted Masterpass Merchants.

In terms of personal data processed within the framework of this service; within the scope of Article 3 of the Personal Data Protection Law No. 6698, Mastercard acts as a data processor on behalf of contracted banks and depending on the instructions of contracted banks. The relevant contracted bank acts as the data controller in relation to the processing of personal data within this framework.

You must have a Masterpass Account to use the Instant DigitalLoan product. After you choose the "Payment with Instant Shopping Credit" option on the payment screens on the electronic commerce channels of the contracted Masterpass Merchants, you will be offered with a selection of bank options where you can use consumer credit. After choosing the bank from which you want to use consumer credit, your loan request will be communicated to the relevant bank and following a credit eligibility assessment by the bank, the loan payment plan and the loan agreement between you and the bank will be provided to you over Masterpass screens. Following the establishment of your loan agreement with the bank, your approval will be received for creating a virtual card where your credit amount will be deposited, this card will be registered in your Masterpass Account, and your payment will be made through this virtual card. Within the aforementioned the Instant DigitalLoan flow, all legal relations in the steps of credit eligibility assessment, credit allocation, card issuance are established between you and the relevant bank and Mastercard does not make any commitment or accept responsibility for the credit allocation process. The eligibility assessment of the consumer loan you have requested, the decision of confirmation or rejection of the credit request, the preparation of the contract and payment plan for the consumer loan allocated, and the creation of the virtual card where the loan amount will be deposited are carried out under the control and responsibility of the bank from which you request the loan. During your use of the Instant DigitalLoan product, Mastercard only acts merely as an intermediary for the communication between you, the bank and the Masterpass Merchant you shop from. MASTERCARD DOES NOT WARRANT THAT THE REQUESTED CREDIT WILL BE GRANTED TO YOU OR A CARD WILL BE ISSUED DURING THE USE OF THE INSTANT DIGITALLOAN PRODUCT; IT DOES NOT REPRESENT OR GUARANTEE THE REALITY, VALIDITY, ACCURACY, OR COMPLETE INFORMATION IN THE CREDIT CONTRACT TRANSMITTED TO YOU BY THE BANK.

By using the Instant DigitalLoan product, the information you have shared through Masterpass interfaces may be shared with the bank from which you requested credit. At the same time, in order to make the necessary verifications during the credit allocation flow, text messages may be sent to you for verification purposes through your contact information registered with your bank.

Use of ABU Services

"ABU Services" ensure that in case of theft/loss/expiry of your card registered in Masterpass, your current card information is updated in Masterpass through the relevant bank channel and your current card information is used in the transactions you will make at the merchants where ABU Services are valid. In order to benefit from ABU Services, you must have a Masterpass Account, unless otherwise notified to you. You are aware that you can start to benefit from ABU Services based on the authorisation you will give through the electronic banking channels of your relevant bank and your service participation approval. By authorising the use of the ABU Services, you acknowledge and agree that your relevant card information will continue to be kept up to date in Masterpass and that your current card information will be provided to us by your bank for use in one-off and recurring payment transactions at merchants where the ABU Services are valid. Furthermore, you acknowledge and agree that transactions made with cards registered in Masterpass and which have lost their validity due to stolen, lost or expired cards can be performed validly using your current card information. If you no longer wish to use this service, you can contact the bank that issued your currently registered cards and withdraw your consent to use the ABU services through the banking channels provided by your bank.

Merchants to which ABU Services are valid do not require Masterpass member merchants. Therefore, transactions can be made with your current card details even at merchants where you cannot use Masterpass during payment. By using the ABU Services, you agree that you are personally liable for any damages you may incur in the event that transactions made by third parties with your old card details are successfully realised and Mastercard will not be liable for any damages. In the event that ABU Services are not valid at the merchant where you make a transaction, or the relevant bank is not included in the scope of ABU Services, your current card information may not be used in the transactions to be realised. Mastercard will not be responsible for the inability to use your current card information in the transactions you will make in such cases that are not caused by Mastercard infrastructure.

Products and Services Offered by Masterpass Merchants

The purchase of the product or service offered by the Masterpass Merchant is a contractual relationship between you and the Masterpass Merchant, and Mastercard is not a party to this transaction. The purchase in question is subject to the terms and conditions of the Masterpass Merchant in all aspects.

Masterpass is not a bank account and does not offer a loan to you or the Masterpass Merchant.

Mastercard makes no representations or warranties with respect to the aforementioned shopping, the products and/or services purchased, or Masterpass Merchant or on behalf of Masterpass Merchant. Mastercard shall have no liability to you in this regard. If you wish to cancel a transaction or obtain a refund for a purchase made with Masterpass at a Masterpass Merchant, please refer to the "Resolution of Transaction Issues" section below for your available remedies. However, Mastercard is not responsible for the accuracy, completeness or reliability of the information provided by the Masterpass Merchant regarding the products and/or services that can be purchased from the Masterpass Merchant or the Masterpass Merchant itself. The inclusion of a Masterpass Merchant's products or services in any product, service or technology that enables or requires you to shop with your Masterpass account does not constitute an endorsement, verification or guarantee by Mastercard of such products or services or the Masterpass Merchant offering them.

Use of Your Payment Information

You are solely responsible for ensuring that your use of Masterpass complies with the terms and conditions applicable to the Cards that you store and use in your Masterpass account. You are responsible for any charges and/or liabilities arising from your purchases made using your Payment Information submitted by Mastercard in accordance with this Terms of Use Agreement and for any fees charged by the issuer of your Cards in connection with such transactions. You are personally responsible for declaring and paying any relevant taxes arising from transactions resulting from the use of your Payment Information submitted by Mastercard, and you must comply with all applicable tax laws in connection therewith.

Mastercard is not a bank, monetary intermediary or payment institution as defined by national legislation. Mastercard does not issue Cards under any circumstances. Any questions or problems relating to your cards should be directed to the bank or financial institution that issued your card and not to Mastercard. MASTERCARD DOES NOT REPRESENT OR WARRANT THAT YOUR CARDS ARE VALID OR HONOURABLE OR THAT THE ISSUERS OF YOUR CARDS WILL AUTHORISE OR PAY FOR THE TRANSACTIONS YOU REQUEST.

Resolution of Transaction Issues

If you have any concerns with respect to any transaction made using Masterpass, you must contact the Masterpass merchant with which you entered into that transaction. You may also have certain rights and protections under your agreement with the bank or financial institution that issued your Card or under applicable law with respect to the charges for transactions made to your registered Cards. Consult your agreement with your Card issuer for details and applicable laws.

Grant of Licence

By complying with the terms of this Terms of Use Agreement, Mastercard grants you a limited, non-exclusive, as is, revocable, non-transferable license without right of sublicense, to use Masterpass solely for the purpose of storing and transmitting your Payment Information to Masterpass Merchants.

Mastercard reserves the right to suspend, discontinue or terminate this license at any time and for any reason. All rights not expressly granted to you are reserved by Mastercard, its affiliates or their licensors.

It is a breach of this Terms of Use Agreement if you use or allow others to use Masterpass for any other purpose, including but not limited to the following transactions: 

• reverse engineer, disassemble, disassemble, reassemble or decompile any Masterpass-related object code (except where applicable law expressly permits you to do so);
• access or use Mastercard services or systems and Masterpass, or damage, disrupt or interfere with the operation of Mastercard services or systems, except as permitted herein;
• use Masterpass in connection with fraudulent or illegal acts, businesses or transactions, as exclusively designated by Mastercard;
• enroll in Masterpass using automated systems, false or fraudulent statements;
• circumvent or modify any security mechanism used by or on behalf of Mastercard;
• use or set up automated systems, including but not limited to "robots", "spiders" or "offline readers", to access Masterpass by transmitting more request messages to Mastercard's servers in a given period of time than a human could reasonably generate in the same period of time using traditional online web browsers;
• act as a payment agent, aggregator or service bureau on your own behalf or on behalf of a third party, including, but not limited to, executing, processing or transferring payments for third parties;
• lease, lend, loan, trade, sell/resell, or otherwise charge any party for access to Masterpass;
• transmit any viruses, worms, bugs, Trojan horses or programs of any damaging nature. 

It is your responsibility to comply with all applicable international and local laws, rules, regulations, ordinances, notices and governmental requirements relating to the licence granted to you by Mastercard and your use of Masterpass hereunder. Mastercard reserves the right, in its sole discretion, to accept or reject your request to register for Masterpass and to disable or suspend your access to your Masterpass account at any time for any reason or no reason, including, without limitation, if Mastercard suspects fraudulent, illegal, unauthorised or improper activity.

Text Messages, Location Based Information, and Use of Mobile Applications

If your mobile phone network supports Masterpass SMS messages, operational SMS messages sent to your mobile phone during registration in Masterpass. Standard messaging, top-up and data tariffs will apply.

If your mobile phone is off, out of range, or subject to a variety of other conditions, you may not receive all messages or messages may be delayed. Cellular and other wireless transmission services and networks are inherently insecure and subject to service disruptions, weak or dropped signals, and other failures over which Mastercard has no control.

MASTERCARD ASSUMES NO RESPONSIBILITY OR LIABILITY FOR ANY DELAYS OR FAILURE TO RECEIVE TEXT MESSAGES OR OTHER MOBILE-BASED INFORMATION OR ANY SECURITY BREACHES RELATED TO ANY OF THE FOREGOING.

You are responsible for any fees and penalties charged by your telecommunications provider or any other third party in connection with your use of Masterpass on your mobile device.

Mastercard may, from time to time, release updated versions of the mobile application and discontinue support for prior versions at its discretion. In order to continue accessing and using the services, users may be required to install and use the most current version of the mobile application.

Modifications to Masterpass

Although Masterpass is currently provided free of charge by Mastercard, Mastercard may, at its sole discretion, impose fees for Masterpass (or for additional features or functionalities) at any time in the future. Mastercard will provide you with reasonable notice of its intention to charge fees for Masterpass. Mastercard may also, at its sole discretion, terminate, discontinue, suspend, modify, or amend Masterpass or Mastercard services and systems at any time. Where appropriate, Mastercard will provide you with reasonable notice of such changes. Such changes may, where applicable, require you to update your Payment Information or other information associated with your Masterpass account in order to continue using Masterpass. To the extent permitted by applicable law, Mastercard shall have no liability or obligation to you arising from the termination, suspension, amendment, modification, or discontinuation of Masterpass or Mastercard services and systems.

Mastercard may, at any time and from time to time, revise the terms of this Terms of Use Agreement in accordance with the notice provisions set out herein. If you do not agree to such revisions, your sole remedy shall be to discontinue using the services affected by the revisions. Your continued use of Masterpass after the effective date of the revisions shall constitute your acceptance of the revised terms applicable to the relevant service.

Feedback

From time to time, Mastercard may ask you for (or you may independently provide Mastercard with) your feedback, suggestions, comments, or ideas (collectively “Feedback”) on Masterpass or other Mastercard products or services but you are not required to provide us with any Feedback. 

By submitting Feedback, you grant Mastercard the right to use and benefit from all Feedback submitted by you, which is not personal data, for legitimate purposes, for the establishment of internal policies and procedures, and for the improvement and development of Masterpass without obligation of any kind and without any obligation of confidentiality, attribution, accounting, compensation, or other duty to account to you.

Ownership and Rights

As between you and Mastercard, Mastercard owns and retains all right, title, and interest, including all intellectual property rights, in and to (i) Masterpass; (ii) Mastercard's systems and services; and (iii) all feedback (collectively, the "Mastercard Property"). Mastercard, its licensors, or third party partners own and retain all right, title, and interest in all names, trade names, trademarks, service marks, slogans, logos, domain names, or rights, property and interests arising from signs used in connection with Masterpass, including Masterpass, Masterpass Card Storage, Masterpass by Mastercard, Masterpass Online, and Masterpass Payment Services (“Trademarks”). You have no right to use any Trademark in any manner without the advance written permission of the owner of that Trademark. Mastercard reserves all rights in the Mastercard Property and Trademarks not expressly granted to you in this Terms of Use Agreement.

Third Party Websites

Masterpass may contain third party content and links to third party sites or pop-ups served by or on behalf of third parties that are not owned or controlled by Mastercard (“Third Party Websites”). Links to Third Party Websites are included, and pop-ups served by or on behalf of third parties are facilitated, solely for the convenience of users and do not constitute any approval, endorsement, or warranty by Mastercard. Moreover, Mastercard is not responsible for the content, security, operation, or use of any Third Party Websites or the products or services that may be offered or obtained through them or for the accuracy, completeness, or reliability of any information obtained from a Third Party Website.

When you click on a link to or in a pop-up of a Third Party Website, you will leave the services controlled by Mastercard. Any personal information you submit after you leave Masterpass will not be collected or controlled by Mastercard. It will be subject to the privacy notice or terms of use applicable to the Third Party Website. It is your responsibility to review those policies before submitted your information to the Third Party Website and you provide your information at your own risk. YOU EXPRESSLY RELIEVE MASTERCARD FROM ANY AND ALL LOSS, DAMAGES OR OTHER LIABILITIES YOU INCUR AS A RESULT OF YOUR ACCESS TO OR USE OF ANY THIRD PARTY WEBSITE. 

Declarations

You represent and warrant that (a) the information you provide to Mastercard in connection with your registration and use of Masterpass is true and accurate; (b) you are a legal resident of the country in which Masterpass is offered; and (c) you will comply with this Terms of Use Agreement and all laws, rules and regulations in effect from time to time.

Indemnification

You agree to indemnify and hold harmless Mastercard and its business partners, and its and their officers, directors, employees, representatives and affiliates (the “Mastercard Parties”) from and against any and all claims, liabilities, damages (actual and consequential), losses, fines, and expenses (including legal and other professional fees and costs of investigation) arising from or in any way related to (a) your use of Masterpass; (b) your (or anyone using your Masterpass Account’s) breach of this Terms of Use Agreement or applicable law; (c) your negligence or willful misconduct; (d) any your violation of any third party’s rights, including any intellectual property rights.

Disclaimer of Warranties

Masterpass is provided “as is,” “as available,” and with all faults. The Mastercard Parties disclaim all warranties, express or implied, including any warranties of merchantability, quality of information, quiet enjoyment, non-infringement, title, or fitness for a particular purpose.  Mastercard does not warrant that the information contained in Masterpass (including any information related to a Masterpass Merchants’ products or services) or on any third party site or mobile application will be accurate or complete, or that Masterpass or any third party site will be error free, uninterrupted, free from spyware, malware, adware, viruses, worms, or other malicious code, or will function to meet your requirements. Mastercard does not warrant that Masterpass will work on your hardware, with your operating systems, or with any other software installed on your computers or mobile devices. Information obtained by you from Mastercard will not create any warranties. To the extent permitted by applicable law, you assume all risks associated with your use of Masterpass.  It is your sole responsibility to determine whether masterpass is suitable and adequate for your needs. You specifically acknowledge that Mastercard does not have any control over your transactions using payment information transmitted by Masterpass on your behalf. Mastercard cannot ensure that all transactions will be completed or that your Card issuer will authorise transactions initiated by you.

Limitation of Liability

Regardless of whether any remedy in these terms fails of its essential purpose or otherwise, the Mastercard Parties are not and will not be liable to you for any direct, indirect, special, punitive, exemplary, consequential, or any other damages whatsoever, including any personal injury, property damage, loss of use, loss of business, economic loss, loss of data, or loss of profits, without regard to the form of action (including contract, negligence, or other tortious actions) arising out of or in connection with (a) this Terms of Use Agreement; (b) Masterpass, including your use of Masterpass in combination with any third party application; (c) any errors, interruptions and downtime of Masterpass-related services; (d) any card, or third party website; (e) any product or service obtained through a transaction executed using payment information transmitted by Masterpass; (f) your use of your mobile device, including any lack of attention to your surroundings resulting from such use; (g) any direct, indirect, special, exemplary, punitive, incidental, consequential or other damages of any kind arising out of or in connection with any unauthorised access by any person to the Mastercard services and systems. You waive any and all claims, now known or exist and later discovered, that you may have against the Mastercard Parties arising out of your use of Masterpass, your mobile device or this Terms of Use Agreement. Without limitating the foregoing, Mastercard is not responsible for any errors in the descriptions of products or services offered by Masterpass Merchants or any mobile carrier fees or penalties or card account fees or penalties that you incur as a result of your use of Masterpass, including any fees and penalties that may result from transaction reversals.

Notwithstanding the foregoing, the Mastercard Parties’ total liability to you for all damages, losses, and causes of action, whether in contract, tort (including negligence), or otherwise will not, under any circumstances, exceed one hundred euros (EUR 100).

The foregoing limitations and exclusions apply except to the extent expressly precluded by applicable law. in those jurisdictions, all or a portion of the above limitations may not apply to you and the scope and duration of the Mastercard Parties’ warranties and the extent of their liability will be the minimum permitted under applicable law.

Termination

This Terms of Use Agreement will be effective until terminated as provided in this section. Mastercard may suspend or terminate your use of Masterpass, your access to your Masterpass Account, if there is an important reason, provided that you are informed immediately, if (a) your contact information is not up-to-date or you do not respond to communications directed to you; (b) the information you have provided to obtain your Masterpass Account is false, inaccurate, not current, or incomplete; (c) you are engaged in illegal activity; (d) you have breached any of this Terms of Use Agreement; or (e) your Masterpass Account has been inactive for more than thirteen (13) months.  You may terminate this Terms of Use Agreement with respect to Masterpass or for any reason or no reason at all, at your convenience, by ceasing your Masterpass Account.

Upon termination of this Terms of Use Agreement for any reason, the rights and licences granted to you shall immediately terminate. Upon termination of this Terms of Use Agreement, you will have to immediately cease all use of Masterpass. The terms, conditions, and warranties contained in this Terms of Use Agreement that by their nature and context are intended to survive the termination of this Terms of Use Agreement will survive, including Use of Your Payment Information, Resolution of Transaction Issues, Feedback), Ownership and Rights, Third Party Websites), Privacy, Your Representations, Indemnification, Disclaimer of Warranties, Limitation of Liability, Termination of Agreement, Miscellaneous Provisions. To the extent permitted by applicable law, Mastercard will have no liability to you for any damages, loss of profits or other claims arising from the termination or suspension of your access to Masterpass.

Upon termination of this Agreement, you will remain liable for all payments and other obligations incurred under this Terms of Use Agreement.

Miscellaneous Provisions

Notifications: Unless provided otherwise by Mastercard in connection with Masterpass, by this Terms of Use Agreement must be sent to masterpassturkiye@echoccs.com or such other address(es) as Mastercard may specify from time to time in its sole discretion. Mastercard may provide disclosures and notices regarding Masterpass by uploading them to the Masterpass website, transmitting them to you via Masterpass (if applicable), or sending them to the telephone number that you have associated with your Masterpass account. You will be deemed to have received any disclosures and notices that Mastercard delivers or e-mails to you after 7 days, unless Mastercard has received a notification of non-delivery.

Entire Agreement: This Term of Use Agreement Terms constitute the entire agreement between you and Mastercard with regard to their subject matter.

Relationship of the Parties: This Terms of Use Agreement does not create and must not be construed as creating a joint venture, co-ownership, partnership, or agency relationship between you and Mastercard.

MasterCard Third Party Beneficiaries: You acknowledge and agree that each affiliate and subsidiary of Mastercard is a third party beneficiary to this Terms of Use Agreement, and that Mastercard’s affiliates and subsidiaries are entitled to directly enforce, and rely upon, any provision of this Terms of Use Agreement, which confers a benefit on (or provides rights in favor of) them. Other than these, no person or company constitutes a third party beneficiary of this Terms of Use Agreement and no other person or company is entitled to enforce any provision of this Terms of Use Agreement.

Validity of Records: The Parties agree that, in the event of any dispute arising out of or in connection with this Agreement, electronic transaction records, system and security logs, database records, computer records, business records, and any other electronic records maintained by Mastercard shall, to the extent permitted under applicable law, constitute valid and binding evidence.

Governing Law: This Terms of Use Agreement or any non-contractual obligation arising out of or in connection with this Terms of Use Agreement shall be governed by and construed in accordance with the law of the jurisdiction in which you reside.

Waiver; Invalidity: Mastercard’s failure or delay to exercise or enforce any right or provision of this Terms of Use Agreement or any rights under applicable law will not constitute a waiver of any of those provisions or rights. If any provision of this Terms of Use Agreement is found by a court of competent jurisdiction to be invalid, the parties agree that, if the court rules in a way that clarifies the parties' intentions, they shall try to act in accordance with that ruling and the other provisions of this Terms of Use Agreement will remain in full force and effect.

Headings: The section headings in this Terms of Use Agreement have no legal or contractual effect and are used for convenience only.

Copy of Terms of Use Agreement: You acknowledge that Mastercard is under no obligation to provide you with a printed copy of this Terms of Use Agreement.

Assignment: You may not assign or transfer your rights or obligations under this Terms of Use Agreement. Any purported transfer or assignment in violation of the foregoing will be invalid. Mastercard may assign its rights and obligations under this Terms of Use Agreement at any time.

Force Majeure: Mastercard shall not be required to perform any of its obligations under this Terms of Use Agreement and shall not be liable for any delay or failure to perform such obligations due to any cause beyond its reasonable control, including but not limited to telecommunications, electrical or consumable failures, labour disputes, acts of natural disasters or acts of terrorism.
